This agreement is between you or your business (“You”) and offradio.fm

(hereinafter “Offradio Business Class”) governs the use of music coverage services

offered by Offradio Business Class (hereinafter "Offradio B2B Services").

 

OFFRADIO BUSINESS CLASS SERVICES  

We provide music content broadcasting services for business premises via Internet connection. You may use the Offradio B2B Services only for business use on the premises of the business unit you represent. You can connect to the Offradio B2B Services using any player supported by the Offradio B2B Services through a personal username and password. Internet access and any other equipment required to use the Offradio B2B Services is your responsibility. 

 

MODIFICATION OF TERMS OF USE  

We may modify the Terms upon notice to you at any time. You will be notified of any such modification by email or by posting the changes on the website https://offradio.fm/terms-conditions. You may stop using the Offradio B2B Services if the terms are changed in a way that materially affects your rights in connection with your use of the Offradio B2B Services. Your continued use of a Service following notification of any change to the Terms will be deemed your agreement to the modified terms. 

 

REGISTERED USER OBLIGATIONS 

You must register for a user account in order to access or use the Offradio B2B Services. If you represent an organization and wish to use the Offradio B2B Services, we recommend that you use your corporate email address. You agree to:

a) provide true, accurate, up-to-date and complete information about you as you are prompted to do on the registration form and b) maintain and timely update the registration information so that it is true, accurate, up-to-date and complete. In the event that you provide any information that is not true, accurate, current or complete, or Offradio Business Class has reason to suspect that such information is not accurate, true, current or complete, Offradio Business Class reserves the right to suspend or permanently terminate your account without further notice and deny you current or future use of the Offradio B2B Services. 

 

INTELLECTUAL PROPERTY RIGHTS

Offradio B2B services are available for use only (public performance) in cafes, bars, hotels, restaurants, shops and business premises. Every user who uses the Offradio Business Class channel in their business, to be completely legal in the use of music and at their own sole responsibility must assign copyrights of public performance of music to the relevant bodies.  It is strictly prohibited to store by any technical method the content of the Offradio B2B service  in local media of any format, in whole or in part, in the same or in another audio file format that exists today or will be invented in the future. It is also prohibited to extract and save (download) from the Offradio B2B service in local media (mechanical or electronic) sounds. 

 

USER DATA AND DATA PROTECTION 

We store and maintain files, documents and other data stored in your user account at our facilities. In order to prevent data loss due to errors or system failures, we also keep backup copies of data, including the contents of your user account. Therefore, your files and data remain on our servers, even after your user account is deleted or terminated. We assure you that your user account data will not be accessible by any third party. We also do not process your user account data to serve targeted ads. We provide users with access to their personal information. Users may correct, update or remove any such personal information either by accessing a user account or by contacting Offradio Business Class customer support. These changes may take up to 48 hours to take effect. We must answer all your questions within 10 days. 

 

CONTACT 

The Offradio B2B Services may include certain communications from us, such as service announcements, system administration messages and newsletters. You understand that these communications should be considered part of your use of the Offradio B2B Services. As part of our policy to provide you with overall privacy protection, we also provide you with the option to opt out of receiving newsletters from us. However, you will not have the option to opt out of receiving service announcements and system management messages. 

 

CHARGES & PAYMENTS  

Subscriptions to Offradio B2B services are available on monthly, 6-month and annual billing cycles. A month is always considered the period of 30 days from the delivery of Service and they do not differ based on the current month. Offradio Business Class has two types of transactions, one-off payments and subscriptions. During the registration process for Offradio Business Class subscription services you can choose between the two types of transactions. In the case of a one-off payment, you are solely responsible for renewing your subscription, Offradio Business Class will not attempt to charge you in any way after the end of the billing cycle. In the case of subscription and depending on your billing cycle (e.g. per month), Offradio Business Class will automatically renew the plan you have chosen, creating the relevant charges on your account without any additional action on your part. The default transaction type of Offradio B2B services is subscription. Offradio Business Class reserves the right to change the subscription amount. In case of expiration / cancellation of your subscription, your account will be deactivated. Offradio Business Class does not support any other way to downgrade your plan, other than terminating / canceling your current subscription. So you must pay special attention to the subscription plan you choose, as no refunds will be granted by Offradio Business Class.

TRANSACTIONS AND PRIVACY

All payments made using a card are processed through the STRIPE electronic payment platform. Stripe is one of the safest, most widely accepted ways to pay for your purchases online. This allows you to use the funds from your debit or credit card and be able to use them with confidence. Stripe is officially the second most popular online payment method worldwide after PayPal. Simply select your plan, go to secure checkout, and you'll be safely taken to complete your Stripe payment. 
Stripe enforces HTTPS for all services that use TLS (SSL), including our public website and dashboard. Stripe.js is served over TLS only Stripe's official libraries connect to Stripe's servers over TLS and verify TLS certificates on every connection We regularly review the details of our application, including the certificates we offer, the certificate authorities we use, and of the encryptions we support. We use HSTS to ensure that browsers only interact with Stripe over HTTPS. Stripe is also included in the pre-installed HSTS lists for both Google Chrome and Mozilla Firefox. Encryption of sensitive data and communication: All card numbers are encrypted at rest with AES-256. Decryption keys are stored on separate machines. None of Stripe's internal servers and daemons can obtain plaintext card numbers, but can request that cards be sent to a static whitelisted service provider. Stripe's infrastructure for storing, decrypting and transmitting card numbers runs in a separate hosting environment and does not share credentials with Stripe's main services (API, website, etc.) regarding sensitive data and communication For more information: https:// stripe.com/docs/security/stripe

 

RESTRICTIONS ON USE 

In addition to all other terms and conditions of this agreement, you shall not: (i) transfer or make available to any third party the Offradio B2B Services (ii) provide any service based on the Offradio B2B Services without prior written permission (iii) you use the Offradio B2B Services for spamming and other illegal purposes. 

 

SPAMMING AND ILLEGAL ACTIVITIES

You agree that you are solely responsible for the content of your transmissions through the Offradio B2B Services. You agree not to use the Services for illegal purposes or to transmit material that is illegal, defamatory, harassing, libelous, invasive of another's privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, objectionable, offensive to religious sentiments , promotes racism, contains viruses, violates or may violate the intellectual property or rights of another. You agree that you will not use the Services to transmit “junk mail,” “spam,” “chain letters,” “phishing,” or otherwise soliciting mass email distribution. We reserve the right to terminate your access to the Offradio B2B Services if there are reasonable grounds to believe that you have used the Services for any illegal or unauthorized activity.  

 

DISCLAIMER OF WARRANTIES  

You understand and agree that your use of the Offradio B2B Services is solely at your own risk. Offradio Business Class expressly disclaims all warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Offradio Business Class makes no warranty that the Services will be continuous, timely, secure or virus-free. Your use of the Offradio B2B Services shall be at your own risk and you shall be solely responsible for any damage to your computer system resulting from your use of the Offradio B2B Services or the downloading of any such material.

 

LIMITATION OF LIABILITY 

You agree that Offradio Business Class shall in no event be liable for any incidental, consequential, indirect, special or other loss or damage or loss of profits, business interruption, computer failure, loss of business information, or other damages arising out of or caused by the use or inability to use any of the Offradio B2B Services, even if Offradio Business Class has been advised of the possibility of such damages. Your sole and exclusive remedy for any dispute with Offradio Business Class relating to any of the Services shall be termination of such Service. In no event shall the total liability of Offradio Business Class to you in respect of any service, direct or indirect, exceed the fees paid by you to such service. 

 

SUSPENSION AND TERMINATION 

We may suspend your user account or temporarily disable access to all or part of any Service if there are any suspicions of illegal activity, extended periods of inactivity or non-payment, requests from law enforcement or other government agencies. We will also terminate your user account upon your request. In addition, we reserve the right to terminate your user account and ban the services upon reasonable belief that you have violated the Terms. Termination of your user account will include denying you access to all Offradio B2B Services, deleting your user account data, such as your e-mail address and password, and deleting all data in your user account.
